These Terms and Conditions ("Agreement") constitute a legally binding commercial contract between Store Pallets ("Company," "we," "us," or "our") and any individual, sole proprietorship, corporation, partnership, or commercial entity ("Buyer," "you," or "your") accessing our website, purchasing liquidation pallets, reserving truckloads, or taking delivery at our warehouse facility located at 2806 Robinson Lane, Newark, OH 43055.

By tendering payment (whether in-person, by phone, online, via wire transfer, or through invoice), entering our premises, or taking possession of merchandise, you agree to be bound by all terms, conditions, and disclaimers set forth herein.

All merchandise offered by Store Pallets represents distressed, surplus, salvage, overstock, shelf-pull, or customer-returned goods acquired directly from origin retail networks.

• Wholesale Resale Purpose: Transactions with Store Pallets are conducted on a business-to-business (B2B) or commercial wholesale liquidation basis. Items are sold for commercial resale, flea market sales, discount bin store distribution, auctioning, export, refurbishment, or parts recovery.
• Consumer Protection Waiver: To the fullest extent permissible by applicable law, statutory consumer warranties, retail refund mandates, and consumer cooling-off periods designed for retail end-consumers do not apply to wholesale pallet acquisitions.

ALL MERCHANDISE IS SOLD STRICTLY "AS-IS, WHERE-IS, WITH ALL FAULTS." STORE PALLETS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING WITHOUT LIMITATION:

• Implied Warranty of Merchantability;
• Implied Warranty of Fitness for a Particular Purpose;
• Warranties Regarding Product Completeness, Condition, or Defect Rates;
• Warranties of Non-Infringement or Authenticity from Original Manufacturers.

Itemized manifests, spreadsheets, piece counts, and original retail MSRP numbers provided on invoices or catalogs are originated by third-party retail fulfillment centers (such as Amazon, Target, Home Depot, Walmart) and are provided solely for informational estimation:

• No Audit Guarantee: Store Pallets does not open sealed gaylords or manually recount pallets to verify manifest accuracy.
• Permissible Variance: Buyer agrees that a variance of 3% to 7% in piece count, brand identity, or condition code is standard in reverse logistics and shall not form the basis of any claim, offset, or refund.
• Unmanifested Lots: Unmanifested mystery pallets are sold by visual inspection, weight, or skid footprint without itemized guarantees.

Visitors to our physical warehouse facility at 2806 Robinson Lane, Newark, OH 43055 must observe all industrial safety directives:

• Industrial Environment: The facility is an active distribution yard with operating heavy forklifts, commercial semi-trucks, and stacked skids. Visitors enter at their own risk and must stay within designated pedestrian inspection zones.
• Forklift Loading Assistance: Our operators provide complimentary forklift loading into customer vehicles as a courtesy. Buyer remains solely responsible for ensuring that their vehicle, trailer, axle payload, tires, and hitch ratings can safely support the load.
• Cargo Securing: Once a pallet is placed in or onto Buyer’s vehicle/trailer, Buyer is solely responsible for strapping, securing, and tarping the load before departing onto public roadways.

For shipments arranged through common carriers (LTL or dedicated 53ft full truckload):

• F.O.B. Warehouse Dock: Title to the goods and risk of loss pass to Buyer upon transfer of custody to the freight carrier at our Newark, OH facility.
• Bill of Lading (BOL) Inspection: Buyer must thoroughly inspect all pallets prior to signing the delivery receipt. Any visible transit damage, torn shrink-wrap, or tipped skids must be noted in writing on the BOL.
• Transit Claims: Damage caused during transit must be filed directly with the freight carrier. Store Pallets will provide BOL documentation to assist Buyer in their claim.

All orders must be paid in full prior to release or dispatch. We accept cash, certified cashier's checks, bank wire transfers, and major credit cards:

• Finality of Payment: By completing payment, Buyer confirms inspection (or waiver of inspection) and agrees that the transaction is final and non-refundable.
• Chargeback Waiver: Buyer agrees not to file or initiate any credit card chargebacks, reversals, or disputes alleging condition, missing accessories, or manifest discrepancy. Buyer agrees to indemnify Store Pallets for all legal and merchant fees incurred in successfully defending any improper dispute.
• Storage / Abandonment: Orders staged for dock pickup must be collected within five (5) business days. Uncollected lots beyond five days incur storage fees of \$25/pallet/day.

Certain national retailer contracts require specific resale compliance:

• De-labeling Obligations: Where marked or required, Buyer agrees to deface, remove, or black out original retailer price stickers, store tags, and proprietary barcodes prior to resale.
• No Misleading Branding: Buyer shall not represent themselves as an authorized dealer, branch, or retail outlet of the originating department stores (e.g., Target, Walmart, Amazon, Home Depot) in marketing materials.

IN NO EVENT SHALL STORE PALLETS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR INVENTORY LOSSES) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE MERCHANDISE SOLD.

THE TOTAL AGGREGATE LIABILITY OF STORE PALLETS UNDER ANY LEGAL THEORY SHALL NOT EXCEED THE ACTUAL PURCHASE PRICE PAID BY BUYER FOR THE SPECIFIC PALLET LOT GIVING RISE TO THE CLAIM.

This Agreement and all transactions shall be governed by, construed, and enforced in accordance with the laws of the State of Ohio, without regard to conflicts of law principles.

Any action, proceeding, or dispute arising out of this Agreement shall be brought exclusively in the state or federal courts situated in Licking County, Ohio. Both parties consent to personal jurisdiction in said courts.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
